Terms of Use

These terms govern the use of SyncZap (https://synczap.ai), a service provided by Atlas Equities LLC, 16841 Lone Oak Cir., Orlando, FL 32832, USA. By creating an account or using the service you agree to them and to the Privacy Policy. If you use SyncZap on behalf of a business, you confirm you are authorized to accept them for it.

1. The service

SyncZap connects an organization's WhatsApp to a web panel and to AI assistants the organization authorizes (over MCP with OAuth or an API key), to sync, read, organize and reply to conversations. SyncZap is not affiliated with, sponsored or endorsed by WhatsApp or Meta.

2. Connection modes

• Linked device (current mode): SyncZap connects as a linked device to the phone's WhatsApp, using the WhatsApp Web protocol. This mode is unofficial and does not use the WhatsApp Business API. WhatsApp may disconnect, restrict or ban numbers that use unofficial devices, especially in case of abusive use or unusual message volume, and may change the protocol without notice, interrupting the service.
• Official Cloud API (when available): a connection through Meta's WhatsApp Cloud API is planned for the Business plan. When it is offered, it will have its own requirements (a Meta Business account, number approval and message templates) and may be subject to Meta's fees, disclosed before activation. Until then, this mode is not available.

By connecting a number, the organization confirms it has the right to use it and accepts the risks of the chosen connection mode.

3. Account and organization

• Provide accurate information and keep your access secure. You are responsible for actions taken with your account.
• Each organization has an owner and members with roles. The owner is responsible for the organization, the members it invites, the numbers it connects and the integrations it authorizes.
• You must be at least 18 years old and legally able to enter into contracts.

4. Free trial, subscription, cancellation and refunds

• New organizations can use the service free for 7 days, with every feature and daily media-AI caps. When the trial ends without a subscription, the organization is suspended and WhatsApp stops syncing; data and the session are kept so it can be reactivated.
• Subscriptions are monthly or annual, charged in advance through Stripe and renewed automatically for the same period until canceled. Each plan's price, currency and limits are shown before you subscribe.
• You can cancel at any time in the billing portal; cancellation takes effect at the end of the period already paid: access continues until then and there is no further charge. After that, the organization is suspended.
• If a payment fails, Stripe retries it and the owner is notified; without payment the organization may be suspended.
• When you downgrade, features above the new limits stop working; numbers above the limit are disconnected 7 days after the notice.
• Amounts already paid are not refunded pro rata on cancellation. Refunds may be granted at our discretion, for example for an incorrect charge, and we honor any statutory withdrawal right that applies (in Brazil, 7 days from purchase for consumers under article 49 of the Consumer Protection Code).

5. Acceptable use

You may not use SyncZap for:

• spam, bulk or unsolicited messaging, purchased lists, automated marketing blasts, or any sending that breaks WhatsApp's terms and policies;
• scams, phishing, harassment, hate speech, illegal content or content that infringes third-party rights;
• connecting numbers you have no right to use, or processing contact data without a legal basis;
• letting an AI reply to contacts on its own, without human review;
• trying to access other organizations' data, bypassing technical, plan or security limits, or reselling the service without authorization.

We may suspend organizations that break these rules, including without prior notice when there is a risk to others or to the service.

6. Third-party data

The organization is the controller of the conversations and contact data it syncs: it is responsible for having a legal basis to process them, for informing its contacts when required and for handling their requests. Atlas Equities LLC processes that data as processor, as described in the Privacy Policy. Conversation content belongs to the organization and the people it talks to.

7. AI assistants

• By authorizing an assistant, the organization lets it read synced conversations and, if the send scope is granted, prepare and send messages and take actions on its behalf. Sending, editing, deleting and pinning require explicit confirmation; marking as read and reacting do not.
• The organization is responsible for the account it uses with the assistant (ChatGPT, Claude or another) and for configuring it so content received from WhatsApp is not used to train models, for example by turning off model improvement or using business plans that don't train on customer data.
• AI-generated replies, summaries, transcripts and readings can contain mistakes. Review them before confirming any message.
• Authorization can be revoked at any time in the panel.

8. Automatic transcription

When an owner or admin turns on automatic transcript delivery, SyncZap sends, without per-message confirmation, the transcript of received voice notes to the organization's own number or as a reply in the conversation (visible to the contact), depending on the chosen option. The organization is responsible for that choice.

9. WhatsApp risks

SyncZap does not guarantee the connection will stay up and is not responsible for disconnections, restrictions or bans applied by WhatsApp or Meta. The history available depends on what WhatsApp delivers to the linked device. A message accepted for sending is not proof that it was delivered or read.

10. Availability and limitation of liability

We work to keep the service available and secure, but it is provided "as is", without a guarantee of uninterrupted or error-free operation. To the extent permitted by law, Atlas Equities LLC's total liability for any claim related to the service is limited to the amount the organization paid in the 3 months before the event, and we are not liable for lost profits, data loss caused by third parties, lost opportunities or indirect damages. Nothing in these terms limits consumer rights that cannot be waived under applicable law.

11. Suspension and termination

You can stop using the service at any time by canceling the subscription and asking us to delete the account or organization at support@synczap.ai. We may suspend or terminate the service for violations of these terms, non-payment or legal requirements, with notice when possible.

12. Changes

We may change these terms and will give advance notice of material changes in the panel or by email. Continuing to use the service after they take effect means you accept the new version.

13. Governing law and venue

These terms are governed by the laws of the State of Florida, United States, and disputes will be resolved in the competent courts of Orange County, Florida. Consumers who live in Brazil or another country whose law grants mandatory protections or venue keep those rights, including the right to sue in their own domicile.
